ICT COMPLETES ACQUISITION OF STAKE IN IMPROVE QUALITY SERVICES B.V.

Following the letter of intent signed in April 2006, ICT Automatisering N.V. (“ICT”) yesterday completed the acquisition of a 40% stake in Improve Quality Services B.V. The cooperation with ICT is in line with the strategy to grow in size while developing and maintaining long-term client relations.

Improve Quality Services B.V., founded in 1998, is a specialist company which focuses on high-quality and innovative services in the field of testing and quality management. Clients include both buyers and suppliers of technical applications and information systems. Improve Quality Services was founded by Erik van Veenendaal, an internationally recognised testing expert and co-inventor of the TMap test method. The services portfolio includes consultancy, training and outplacement. Improve Quality Services is market leader in the Netherlands (with certifications including ISTQB/ISEB) in the field of test training. Improve Quality Services will continue to operate as an independent company after the acquisition of this stake. Improve Quality Services currently has 17 employees.

The purchase price is based on the profit Improve Quality Services B.V. realised in 2005. The results of Improve Quality Services B.V. will be included in ICT’s consolidated results as from 1 January 2006.
