ICT AUTOMATISERING FINALISES ACQUISITION OF RIALTOSOFT

Following the letter of intent, signed in November 2005, ICT Automatisering N.V. (“ICT”) has finalised the acquisition of the 50% stake in Rialtosoft yesterday. ICT will acquire the remaining shares as of 1 January 2010.

Rialtosoft concentrates on software development and consultancy for development processes in the automotive industry. In terms of consultancy, Rialtosoft aims to support the client in the integration of processes which result in more efficient software development and improved software quality. With respect to software development, the company aims to develop software for OEM’s, Tier1 and Tier2 suppliers for vehicle systems with high quality and safety demands. More than ICT, therefore, Rialtosoft develops software which is ‘close to the hardware’ for systems with a strong mechatronic character. Rialtosoft currently has a staff of 10.

The total acquisition price will be largely dependent on Rialtosoft’s performance. The results of Rialtosoft will be included in ICT’s consolidated figures as per 1 January 2006.
