Following supplementary agreements, ICT has acquired control over Improve as of 1 January 2010.     ICT Automatisering N.V. (ICT) announces that turnover over the first nine months of 2009 decreased around 21 percent compared to last year, reflecting a stabilisation of the pressure on turnover in the third quarter. About one third of the decrease in turnover was the result of a drop in tariffs. The operating result before reorganisation charges for the third quarter came in slightly positive.

  • 28-08-2009 FURTHER TURNOVER DECREASE IN SECOND QUARTER
    Since the end of last year, the sectors in which ICT is active in the Netherlands have been strongly hit by the economic downturn. From the beginning of this year, the circumstances in Germany have also clearly deteriorated. Pressure on demand and tariffs was visible in all ICT’s divisions. In the second quarter, this situation worsened, resulting in an increased pressure on the operating margin in the second quarter. At this moment, ICT sees the first, cautious indications of market recovery and expects a slight improvement of the market circumstances as of the fourth quarter. However, real recovery won’t be the case yet. The reorganization which was started in the beginning of this year will be concluded at the end of the third quarter

    ICT Automatisering N.V. (ICT) announces that, given the difficult economic circumstances, it is forced to restructure the organization in the Netherlands in the coming period. In total, around 70 jobs will be lost. The associated restructuring costs are expected to be between EUR 3.5 and 4 million.
  • 30-01-2009 ICT EMPLOYEE SUSPECTED OF FRAUD
    ICT Automatisering N.V. (ICT) has reported fraud committed by an employee. The employee is suspected of embezzling funds. So far it is believed to be an individual action of this employee, ICT has no indication that other people within the company were involved. At this moment the matter is further investigated, the employee was immediately fired. The supposed size of the fraud is approximately EUR 2.5 million. ICT will do its utmost to recoup the funds. The fraud occurred in the year 2008. Pending the investigation, the impact on the 2008 results can not be determined yet, but will not exceed the final size of the fraud.

    ICT Automatisering NV (“ICT”) announces that it increased its stake in the German company LINEAS Automotive GmbH (LINEAS) to 100% from 90%. LINEAS is active in the field of developing future-oriented software solutions for control equipment, communication platforms and multimedia architecture in the Automotive market. The increase of the stake is part of ICT’s strategy to further expand its operations in Germany. The ICT Group already has 8 branches in Germany.

    ICT Automatisering N.V. (ICT) expects turnover for the full year 2008 to come in at approximately EUR 97 million (2007: EUR 88.3 million). Net profit is expected to be between EUR 7.1 and EUR 7.3 million (2007: EUR 6.1 million), an increase of 17 to 20%.

According to this agreement, ICT Embedded will provide ASD (Analytical Software Design) consultancy services in support of Verum's ASD:Suite, whilst Verum will focus on future tool development, as well as on marketing the ASD:Suite.

    Bram Schot, CEO of ICT Groep explains: “Despite our activities in some difficult markets, ICT booked a 19.1% rise in net profit in the first half of 2008. The conditions in the Embedded market remain challenging but the right-sizing strategy which we have launched is beginning to have an impact, starting with the improved capacity utilisation.     ICT Automatisering N.V. announces that the exchange ratio for the stock dividend for the financial year 2007 has been set at 2:29. This means that the number of dividend rights of ordinary shares giving right to two new ordinary shares ICT is determined at 29. This represents a value that is approximately 0.3% higher than the cash dividend of € 0.58.
  • 21-05-2008 ICT EXPECTS NET PROFIT INCREASE FIRST HALF 2008 OF 15-20%
    ICT Automatisering N.V. (ICT) expects an increase in turnover of 10% for the first half year of 2008 compared to the first half year of 2007. Both autonomous growth and growth through acquisitions will contribute equally to this growth. The net profit for the first half year of 2008 is expected to show an increase of 15-20% compared to the same period last year. ICT will make this announcement today during its Annual General Meeting of Shareholders. For the full year 2008, ICT reiterates its expectation of an increase in turnover and net profit.

    ICT Automatisering N.V. (ICT) expects turnover for the full year 2007 to come in at about EUR 86 million (2006: EUR 80.7 million). In line with the previous forecast, net profit will be EUR 6 million.

    At the start of the second half of the year, ICT was confronted with a downturn in the market, in particular in its Embedded division in the north and east of the Netherlands.

(ICT), explains: “ICT has further strengthened its market positions with the acquisition of LINEAS in Germany and the expansion of its stakes in Improve and Rialtosoft. Developments at ICT Embedded in the Netherlands continued to be difficult. The capacity utilisation did improve in the course of the second quarter, however, based on current insights we do not expect this improvement to continue in the second half of 2007. The Solutions activities showed healthy progress, although labour market shortages hampered growth. The participation in LINEAS has added considerably to the effectiveness of the German activities. The developments in Germany instil us with great confidence for the future and the attainability of the target of 300 people in 2010. In 2007, we expect ICT as a whole to realise net profit of € 6 million.”

Net profit in 2001 came in at € 10.2 million. Earnings per share showed a comparable development and stood at € 0.40 in 2002, from € 1.21 in 2001. In view of the strong financial position, ICT will propose to pay the entire earnings per share in dividend. Turnover declined to € 63.0 million in 2002, compared with € 84.4 million in 2001. In 2002, ICT brought its cost base in line with the changed market conditions, while its strategic choices remained the company’s focus. ICT’s strong strategic position enabled ICT to acquire new clients in a very weak market climate. Although the year 2003 has not started entirely unsatisfactorily, it is impossible at this point to make a reliable prediction of the expected turnover and profit development in 2003, in view of the persisting economic and political uncertainties.

    ICT Automatisering N.V. (ICT) booked full-year 2001 net profit down 24% to EUR 10.2 million compared with EUR 13.4 million in 2000, in line with the forecast given at the presentation of its first-half results on 7 September 2001. Earnings per share fell by the same percentage and came in at EUR 1.21 in 2001, compared with EUR 1.59 in 2000. Turnover fell fractionally to EUR 84.4 million in 2001 from EUR 85.9 million in 2000. ICT’s strategy of focusing on the R&D processes of its clients, with ICT acting as a strategic partner for its clients, ensured that ICT felt the effects of the economic downturn relatively late. The first half of 2001 was therefore closed satisfactorily and in line with expectations. But in the seconds half, ICT too was confronted with the postponement of projects by its clients. This fall in the willingness to invest also continued into the early months of 2002. The ICT Board of Directors expects 2002 turnover and net profit to be lower than in 2001.

Turnover rose by 9.8% to EUR 46.3 million in the first six months, compared with EUR 42.1 million in the first half of 2000. As ICT announced on 17 July, the first half progressed positively and in line with expectations, although the effects of the deteriorated market conditions were also increasingly noticeable for ICT. The third quarter has started disappointingly and ICT sees no signs of improvement as yet. The ICT Board expects full-year 2001 net profit to decrease by 25% compared with the EUR 13.4 million booked 2000.

The third quarter has started disappointingly and the outlook for the fourth quarter is also weak. ICT has adjusted its forecast for the full year 2001 from an increase in net profit of at least 20% to a net profit down on the result booked in the full-year 2000 (EUR 13.4 million). ICT will give further details of its profit forecast on 7 September 2001 in its first-half report.

ICT’s net profit increased in the first half of 2000 by around 27% to NLG 13.4 million compared to NLG 10.5 million in the first half of 1999. The earnings per share rose by 26% from NLG 1.27 (EUR 0.58) in the first half of 1999 to NLG 1.59 (EUR 0,72) in the first six months of 2000. The turnover increased by 37 % to NLG 92.8 million compared to the NLG 68.0 million in the first six months of 1999. The operating profit showed an increase of more than 27% to NLG 20.1 million compared to the NLG 15.8 million over the first half of 1999. In addition, the number of employees has risen since the end of 1999 by 43, from 877 to 920 at the end of June 2000. The ICT board of directors expects to realise an increase in net profits of at least 25% for the whole of the year 2000.

The impeding factor is a tight employment market. Nevertheless, the directors forecast a rise in net profit of at least 25% in 2000, barring unforeseen circumstances.

    The net profit of ICT Automatisering N.V. (ICT) rose in 1999 by 47.9% to NLG 22.6 million compared to NLG 15.3 million in 1998. The profit per share increased from NLG 1.85 (EUR 0.84) in 1998 to NLG 2.71 (EUR 1.23) in 1999. Turnover was NLG 142.6 million, a rise of 27.9% (1998: NLG 111.5 million). In spite of the continuing scarcity in the labour market, the ICT Group was once again in 1999 able to achieve a considerable increase in its personnel. The number of employees increased from 681 at the end of 1998 to 877 at the end of 1999, a rise of almost 29%. Included in this rise are 48 employees of X-tern with effect from 1 September 1999 and 42 employees of Xirius with effect from 31 December 1999.

This take-over fits well within ICT’s strategy of further expanding its telecommunications activities. The remaining 30% will be taken over on January 1st 2002. Xirius’ results will be fully consolidated in the results of ICT as of January 1st 2000. The acquisition will immediately make a positive contribution to the earnings per share. ICT will finance the take-over of the Xirius’ shares completely from its own resources.

    Net profit of ICT Automatisering N.V. (ICT) increased by 50% in the first half of 1999, to NLG 10.52 million (first half 1998: NLG 7.00 million). Earnings per share increased by more than 49%, from NLG 0.85 (EUR 0.39) in the first half of 1998 to NLG 1.27 (EUR 0.58) in the first six months of 1999. Turnover increased by 26% to NLG 68.0 million (first half 1998: NLG 54.0 million). The operating profit amounted to NLG 15.8 million, an increase of 48% compared to the first half of 1998 (NLG 10.7 million). The number of employees has increased by 40 since year-end 1998, to 721 as at 30 June 1999. On the basis of these results, the Board of Directors of ICT has upwardly adjusted its forecast for the whole year 1999 from a net profit increase of at least 30% compared to 1998, to an increase of at least 35%.

    On the basis of the healthy developments in the third quarter of 1998, the Board of Directors of ICT, expects that the earlier published forecast, an increase of the net result for 1998 of approximately 50% compared to 1997, will be realised. ICT sees ample opportunities to maintain this growth in the coming months. The Board of Directors also expects to realise healthy growth in 1999. Against the market trend, staff turnover at ICT is showing a clear decrease for the whole of 1998.
