ACQUISITION OF GERMAN COMPANY XCC FINALISED

ICT Automatisering N.V. (“ICT”) has finalised the acquisition of the German company XCC Software AG (XCC), following the announcement of the intention on 28 December 2005. The acquisition strengthens ICT’s position in Germany. According to expectations, XCC will directly contribute to the net profit per share in 2006.

XCC, based in Karlsruhe, is active in the field of Embedded Software Engineering Services and concentrates specifically on the automobile and machine manufacturing market. The acquisition offers ICT a good platform to further strengthen its position in the south-western region of Germany, in addition to its office in Munich which focuses on the south-eastern region in particular.

XCC has a workforce of approximately 30 and realised a turnover of approximately EUR 4 million in 2005. The results of XCC will be included in ICT’s consolidated figures as per 1 January 2006.

XCC specializes in Embedded Software and machine-oriented IT systems. Examples are in-car information systems, vehicle diagnosis or system platforms for prototype vehicles, as well as machine software, engineering tools, remote service applications or production portals.
